4.1 The Board of Governors

The Board of Governors is established under the arrangements specified in the Articles of Association.

The Board has a membership of 19 to 25 members and a short biographical note of current Governors is available here. With the exception of the Vice-Chancellor, who is ex officio, and the President of the Students’ Union who is appointed annually, all Governors are appointed for a period of three calendar years or part thereof.  

Governors may serve up to a maximum of three terms of three years.

The University is a Church of England denomination in accordance with Clause 66 (4) (a) of the Further and Higher Education Act 1992.  

One quarter of the Board’s membership is nominated by the Bishop of Chichester, on behalf of the Bishop Otter Trust, the founding body of the former Bishop Otter College; these are referred to as Church Independent Governors. One quarter of the membership comprises members of the professions and commerce; these are referred to as Other Independent Governors. There are two ‘nominated’ Staff Governors, who are elected by and from academic staff with a contract of 0.5 full-time equivalent (fte) or more.

In addition, one member of the Professional and Support Services Staff is elected from and by relevant staff with a contract of 0.5 fte or more. The remainder are Co-opted Governors, bringing the Board’s membership up to a maximum of 25, provided the Church and Other Independent Governors are equal and, together, they are equal to or in the majority of the remainder of the Board.

All Board members give a personal commitment to uphold the Seven Principles of Public life, (Lord Nolan) and sign a Code of Conduct.  A copy of the Code is available as a Download. 

The Board meets at least three times a year and has an annual away day for strategic planning or training and development on relevant governance issues. The Board as a whole is responsible for the approval of strategic policy issues, employment policies, financial arrangements including approval of the annual budget and financial forecasts, the audited financial statements and the employment, appraisal and remuneration of those staff in ‘designated posts’ within the terms of the Articles of Association (see Remuneration Committee for ‘designated posts’).
